1. Parties and Acceptance
These Affiliate Terms & Conditions ("Affiliate Terms") are offered by NetFlow Ops LLC, doing business as DataForge Labs ("we," "us," or "our"), which provides DataForge, a browser-local business workspace. They apply to independent affiliates ("you") who promote DataForge.
By applying to, joining, or participating in our affiliate program, including by sharing a referral link, you agree to these Affiliate Terms and to applicable law. If you do not agree, do not participate.
2. Eligibility and Approval
You must be at least 18 years old. You must give accurate identity, payout, and tax information and keep it current. Participation requires our approval of your application, and we may approve or decline applications at our discretion.
3. Independent Relationship
You are an independent promoter. Nothing in these Affiliate Terms makes you our employee, agent, partner, franchisee, or reseller. You have no authority to bind us, make promises on our behalf, sell DataForge licenses directly, or set prices or terms. We do not guarantee that you will earn any commission or any amount of income.
4. The Program Offer
Commission rates, eligible products, calculation basis, any recurring commission duration, attribution window, approval or hold periods, minimum payout, currency, and payout schedule are defined only in the written program offer shown to you in Tolt. This page does not state those terms, and nothing here should be read as promising any rate, duration, or payment date.
If the offer is unclear, ask us at support@netflowops.com before relying on it. We may change the program offer by giving prospective notice. Changes apply going forward and are not retroactive to commissions already validly earned.
5. Qualifying Referrals and Attribution
A commission may be earned only for a genuine new buyer who purchases through your unique referral link, with attribution recorded by Tolt and Stripe as described in your program offer. Clicks, visits, and sign-ups are not paid.
Ad blockers, browser privacy settings, cleared cookies, competing referrals, and other tracking limits may prevent a referral from being attributed to you. Figures shown in a dashboard are reporting information only and are not payable until validated under the offer.
6. Attribution Disputes
If you believe a referral was missed or misattributed, email support@netflowops.com with the date and the referral identifier. Do not send customer payment details, private records, or license keys. We will review the information we have and respond.
7. Refunds, Chargebacks, and Reversals
Transactions that are refunded, unpaid, charged back, or fraudulent are not eligible for commission. A valid commission on an earlier paid period is not forfeited merely because the customer cancels later.
If we reverse a commission, the reversal will be supported by our records and notice to you as provided in the program offer.
8. Payouts and Taxes
We pay only through payout methods actually offered to you in the program. We do not promise that Tolt itself pays you or that payment is automated. You are responsible for your own taxes and for the accuracy of your payout information, and delays caused by inaccurate information are not our responsibility.
9. Promotion Standards and Disclosure
Disclose your relationship with us clearly and conspicuously, near the recommendation and in the format used, consistent with U.S. Federal Trade Commission endorsement guidance where applicable. For example: "I may earn a commission if you purchase through this link."
Your claims about DataForge must be truthful and supportable. Do not promise income, compliance outcomes, or legal, tax, or financial results, and do not imply that you are employed by or officially speak for us. You are responsible for complying with advertising, marketing, email, and privacy laws that apply to your promotion.
10. Prohibited Conduct
You may not: send spam or unsolicited bulk messages; create fake accounts or fake referrals; make unauthorized self-referrals; stuff cookies or manipulate clicks; use stolen or improperly obtained data; advertise misleading discounts or offers we have not authorized; or impersonate us, our staff, or another person.
11. Brand Assets
We may provide approved brand assets. You receive a limited, revocable, non-exclusive right to use them solely to promote DataForge under these Affiliate Terms. Do not run infringing ads, register confusing domains or accounts, or make unauthorized offers in our name. We may withdraw this permission at any time.
12. Customer Data and Privacy
You may not access any customer's private workspace data or license keys. If you handle personal data in connection with a lawful referral, you must do so in accordance with applicable privacy laws.
Tolt and Stripe process referral and purchase attribution information as described in our Privacy Policy. They do not process DataForge workspace records, which stay in the customer's browser.
13. Suspension and Termination
Either of us may end your participation by notice. If we reasonably suspect material fraud or a material violation of these Affiliate Terms, we may suspend your participation and will explain why; you may dispute the decision by emailing support@netflowops.com. Fraudulent commissions are excluded. Legitimate, accrued, and approved commissions will be settled as provided in the offer, subject to reversal under Section 7.
14. Disclaimers and Limitation of Liability
We do not guarantee that tracking will be available or accurate, or that you will earn commissions. Where lawful, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages. Our ordinary aggregate liability for the program is capped at the commissions paid or payable to you in the 12 months before the claim. Nothing in these Affiliate Terms limits liability for fraud or willful misconduct, or any liability that law does not allow to be limited.
15. Governing Law
These Affiliate Terms are governed by the laws of the State of Illinois, United States, subject to any non-waivable protections of applicable law.
16. Order of Precedence and Changes
The specific program offer you accepted in Tolt governs economic specifics. These Affiliate Terms govern conduct and the relationship. A written exception approved by us may modify these terms for you. Our customer-facing Terms of Use and Privacy Policy remain separate documents.
We will provide reasonable advance notice of material changes to these Affiliate Terms before they take effect, except when an immediate change is required by law. Changes will not retroactively remove validly earned commissions. If you do not agree to a change, you may end your participation before it takes effect.
